Terms and conditions
Shilling & Shilling Ltd, trading as SearchriseSEO.
Digital marketing and hosting services
Version 1.2, 22 October 2026. Governed by the law of England and Wales.
1. Definitions
1.1 "We", "us" and "our" means Shilling & Shilling Ltd, trading as SearchriseSEO, a company registered in England and Wales, company number 14240637, registered office 11a Mead Way, Fareham, England, PO16 7LA.
1.2 "You" and "your" means the business named at sign-up.
1.3 "Services" means the digital marketing, search engine optimisation, advertising, content and website hosting services you choose at sign-up, as described in your order summary.
1.4 "Minimum Term" means: (a) for each Service in your first order, 12 months from the date that Service starts; and (b) for a Service added later, the period from the date it starts until the end of the Minimum Term of the Services in your first order, as set out in clause 3.1A. Every Service, including website hosting, has a Minimum Term.
1.5 "Renewal Period" means, for each Service, each 3-month period after that Service's Minimum Term. Services added later renew on the same dates as the Services in your first order.
1.5A "Add-on" means an extra item you add to a Service, such as an extra article or an extra hosted site.
1.6 "Order Summary" means the summary of Services, price, Minimum Term and renewal shown to you before you confirm your order.
2. Business customers only
2.1 These terms are for business customers only. By signing up you confirm that you are buying the Services for your trade, business or profession, and not as a consumer.
2.2 The person signing up confirms they have authority to bind the business named at sign-up.
3. Term, renewal and notice
3.1 The agreement starts when we confirm your order. Each Service lasts for its Minimum Term.
3.1A If you add a Service after your first order, it does not get its own 12-month Minimum Term. Its Minimum Term ends on the same date as the Minimum Term of the Services in your first order, so it may be shorter than 12 months. If the Minimum Term of your first order has already ended, the added Service's Minimum Term ends at the end of the current Renewal Period. After that, it renews with the rest of your agreement, on the same Renewal Period dates. Removing one Service does not end the others.
3.2 After its Minimum Term each Service renews automatically for Renewal Periods of 3 months unless either of us gives written notice:
(a) at least 90 days before the end of the Minimum Term; or
(b) at least 30 days before the end of any Renewal Period.
3.3 Not used.
3.4 You can give notice by email to hello@searchriseseo.co.uk or through the client portal.
3.5 If you end a Service during its Minimum Term other than under clause 9.2, you must pay the monthly fees for that Service for the rest of its Minimum Term, less any costs we save because we no longer deliver the Services (for example third-party tools or advertising spend we no longer pay).
3.6 Add-ons: an Add-on starts when you order it, is billed monthly with its parent Service and ends when that Service ends. An Add-on has no separate Minimum Term, and you can remove it at the end of any month by notice under clause 3.4.
4. Fees and payment
4.1 Fees are as shown in your Order Summary and are payable monthly in advance.
4.2 You pay by card. You authorise us to take each monthly payment through our payment provider, Stripe, until the agreement ends. You can update your card details in the client portal at any time.
4.3 Not used.
4.4 We may charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
4.5 If a payment is more than 14 days overdue, we may suspend the Services after giving you 7 days' written notice.
4.6 We are not registered for VAT, so our prices do not include or add VAT. If we have to register for VAT, we will give you at least 30 days' written notice and VAT will then be added to the fees at the rate that applies. This is not a price change under clause 11.3.
4.7 Bolt-on prices: Technical SEO and Content writing cost less when you buy them as a bolt-on to SEO or Local SEO, as shown in your Order Summary. A Service bought at a bolt-on price is a Service, not an Add-on under clause 3.6, and it is tied to its parent Service (SEO or Local SEO). It has the same Minimum Term end date and renewal dates as that parent Service, and it ends when that parent Service ends.
4.8 Discount codes: a discount code applies only to the Services it is stated to cover, which are SEO, Local SEO, Technical SEO at its standard price, and Content writing at its standard price. It does not apply to bolt-on prices under clause 4.7. Only one code can be used per order, and a code must be entered before you confirm your order. The discount applies for the Minimum Term of each covered Service. After that, the Service renews at its standard monthly price, as shown in your Order Summary. We may withdraw or change a code at any time before it is used.
4.9 Where a discount or bolt-on price applies, the fees payable under clause 3.5 are the discounted fees.
5. What we do and what you do
5.1 We will provide the Services with reasonable care and skill.
5.2 Search engine rankings, traffic, leads and sales depend on things outside our control, such as search engine changes, competitors and your own website and business. We do not guarantee any particular ranking, traffic, lead or commercial result.
5.3 You will give us, in good time, the access, information, content and approvals we reasonably need. Where possible, please add us as a user on your own accounts rather than sharing passwords. If you are late, we are not in breach and any timescales move accordingly.
5.4 You are responsible for making sure that content you supply, and content you approve for publishing, is accurate and lawful.
6. Use of AI tools
6.1 We use artificial intelligence tools to help with research, analysis and first drafts of content.
6.2 We check all content and recommendations before we send them to you, using our own review process. Nothing is published without your approval.
6.3 We only use AI providers through their business services, under terms that do not allow them to train their models on your data. The providers we may use are listed in Schedule 1.
6.4 Because the law on ownership of AI-assisted material is still developing, clause 7 gives you rights to use the content we deliver rather than a promise that every part of it is protected by copyright.
6.5 When you approve content in the client portal, you confirm that it is accurate about your business, products and services. If your business is regulated, you are responsible for any approval your regulator or professional body requires before it is published. We publish approved content on the schedule shown in the portal.
6.6 Approvals must be given by a signed-in user of your portal account. We keep a record of who approved or rejected each item and when.
6.7 You must keep your portal sign-in details, authenticator app and backup codes safe, and tell us straight away if you think someone else has them. Until you tell us, we may treat anything done through your account as done by you.
7. Content and intellectual property
7.1 Once you have paid for it, we assign to you whatever rights we have in the content we create specifically for you.
7.2 Until then, you have a licence to use that content for your business while your account is up to date.
7.3 We keep ownership of our own tools, templates, methods and software, including the client portal and the website review tool.
7.4 You give us a licence to use your materials only to provide the Services.
8. Liability
8.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot legally be limited or excluded.
8.2 Subject to clause 8.1, neither of us is liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
8.3 Subject to clause 8.1, we are not liable for changes in rankings, traffic, impressions, clicks or conversions that are not caused by our breach of these terms or our negligence, including changes caused by search engine updates, competitors, or changes made by you or your other suppliers.
8.4 Subject to clause 8.1, our total liability to you in each 12-month period of the agreement is limited to the fees paid or payable by you in that 12-month period.
8.5 This clause 8 does not limit your obligation to pay fees due under these terms.
9. Suspension and ending the agreement
9.1 We may suspend or end the Services if you seriously break these terms and do not put it right within 14 days of our written notice, or under clause 4.5 for non-payment.
9.2 You may end the agreement immediately, without paying for the rest of the Minimum Term, if we seriously break these terms and do not put it right within 30 days of your written notice.
9.3 Either of us may end the agreement immediately if the other becomes insolvent.
9.4 When the agreement ends, you pay fees due up to the end date and any amount due under clause 3.5. We will give you a copy of your content and reports in a standard format within 30 days, and then delete your data in line with Schedule 1.
10. Data protection
10.1 Each of us will comply with UK data protection law.
10.2 Where we process personal data on your behalf, we act as your processor and the terms in Schedule 1 apply. Schedule 1 forms part of these terms.
11. Changes to these terms
11.1 We may change these terms by giving you at least 30 days' written notice.
11.2 If a change materially harms you, you may end the agreement by written notice before the change takes effect, without paying for the rest of the Minimum Term.
11.3 Changes to the price during the Minimum Term need your agreement.
12. General
12.1 These terms, your Order Summary and Schedule 1 are the whole agreement between us. Each of us confirms we have not relied on any statement not set out in them. This does not limit liability for fraud.
12.2 If any part of these terms is found invalid, the rest continues to apply.
12.3 Neither of us is liable for delay caused by events outside our reasonable control.
12.3A When you accept these terms at sign-up, we keep a record of your acceptance, including the date and time, the IP address and device used, the version of these terms and your Order Summary. Either of us may rely on that record as evidence of the agreement.
12.4 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

S1.8 End of the agreement: within 30 days after the agreement ends, we will give you a copy of your personal data and content if you ask for it. We then delete it in line with the retention periods in our privacy notice, which allow us to keep some records (such as approval, acceptance and billing records) for longer to prove our agreement and meet legal requirements.
S1.9 Audits: we will provide information reasonably needed to show we meet these terms.
